In order to enable a financing on the London Stock Exchange AIM, the company was incorporated and registered in England on 15 April 2005 under the name of Clipper Windpower Plc with registered number 5425635 as a public company with limited liability under the Companies Act 1985 (as amended). The principal legislation under which the company operates is the UK Companies Act 2006. On 7 September 2005 Clipper filed a certificate of domestication with the Secretary of State for the State of Delaware under section 212 of the DLLCA with the effect that from such date of filing the company is also to be treated as a domesticated Delaware LLC (with the name of Clipper Windpower Plc LLC) with registration number 4,026,826 and is consequently also subject to the DLLCA. The liability of the members of the company is limited.
